Why we are talking

GGGI needs a Uganda-registered lead that passes the financial test on its own

The rules (Addenda 3 and 5)

Lead firm must be registered in Uganda
Each JV member proves USD 93,750 individually ≈ UGX 355 m
Measured as working capital in the audited financial statements; bank letters and credit lines are not accepted
Subcontractors are exempt
The lead must show substantive leadership and overall responsibility, not a name on paper

Regenerate Africa as JV lead solves this in one step
HEAT is JV partner and passes the test on its own audited accounts; Atacama stays as subcontractor (exempt), so its accounts are not tested
